Types of Licenses Available in HFZA

Based on the type of business activity a company is planning to set up in Hamriyah Free Zone, HFZA issues the following types of licenses:

  • General Trading License: It allows investors to distribute, import, and store goods as per the HFZA rules and regulations

  • Free Zone Company (FZC) – entity with 2 to 5 shareholders a minimum capital requirement of Dhs.150, 000, approximately US$ 40,000

Minimum Legal Requirements implemented by the HFZA

1. Legal Requirements for Free Zone Establishments (FZE) / Free Zone Company (FZC)

  • Each year within 3 months from the end of the financial year, FZE/FZE needs to mandatorily submit their audited financial statements to Hamriyah Free Zone Authority
  • FZE / FZC need to have 2 Directors and a Secretary (minimum requirement)
  • A single person may jointly hold the office of a Director and the Secretary
  • In case the person appointed as the Director or Secretary is a foreign national, he/she should possess valid residence and work permit as per the HFZA rulesIt is mandatory to have at least one of the Directors and the Secretary to be a resident
  • It is mandatory to have at least one of the Directors and the Secretary to be a resident

2. Legal Requirements for Individuals

An individual needs to fulfil following licensing requirements in HFZ:

  • Personal details and the passport copy of the owner / owners
  • Notarized & attested Passport copy and the Appointment Letter from the manager defining his powers
  • Original reference letter from the bank
  • In case of appointment, the notarized & attested copy of the Passport and Appointment Letter of the Consultant defining his powers and his specimen signature

3. Legal Requirements for Companies

  • Notarized & attested copy of the Incorporation / Registration Certificate and the Certificate proving Good Standing of the Company
  • Notarized & attested Memorandum & Articles of Association of the company
  • Notarized & attested Board resolution for incorporation of FZE/FZC in HFZ
  • Original reference letter from the bank stating credit worthiness of the company
  • Notarized & attested Appointment Letter from the manager defining his powers along with the passport copy
  • In case of appointment, the notarized & attested copy of the Passport and the appointment letter for the consultant defining his powers & his specimen signature

Free Zone prepares the license after the party signs the Personal Secondments Facility Lease agreement, and issues the license along with other related documents once the corresponding payment is made.
