3 Simple Steps for Company Registration in Bahrain

Procedure for Business Setup in Bahrain

For setting up a business in Bahrain, the following steps may be followed.

1.Prepare Documents

The documents required include –

  • Passport
  • CPR (Central Population Registration card)
  • Résumé including educational credentials
  • Certificates corroborating training and experience
  • Statement of assets

2.Obtain Initial Approval

At this step in the process, regulators will approve:

  • The name of your company
  • The owners, shareholders and directors
  • The business structure

Once the above has been approved, you will receive a Commercial Registration Certificate.

With this initial approval, you can move forward with the first steps of setting up, like:

  • Opening a bank account
  • Leasing office space
  • Hiring Bahraini employees

Keep in mind that you cannot begin business activities and transactions, or hire foreign employees, until you complete Step 3.

3.Obtain Final License and Regulatory Approvals

During this step, and depending on the activities you have chosen, you will:

  • Receive municipal approvals
  • Receive approvals from regulators and licensing authorities
  • Pay for licensing fees and permits
  • Notarise and endorse the company’s newly formed Articles of Association/Memorandum of Association*
  • \Deposit the company’s paid-up capital to your preference*

Upon completion, you will receive your activity licenses, which will be reflected on the Commercial Registration Certificate.

Note that, physical attendance of the authorised signature is required.

Setting Up an Office in Bahrain

As per the Ministry of Industry and Commerce commercial registration law, a company must register at Bahrain Investors' Center (BIC), located at the Seef Mall in the Seef District, before starting a business in Bahrain. The BIC is a hub that houses representatives from sundry ministries involved in the registration of a business and has representatives from financial institutions and telecommunication companies.

The Domestic Trade Affairs Directorate in the Ministry of Industry and Commerce regulates all commercial licenses and operations in Bahrain. The Commercial Registration Department issues commercial licenses, processes Commercial Registration (CR) applications, collects registration fees, publishes announcements in the official gazette, and extends counselling services to prospective investors.

Applicants may obtain a Commercial License Application Form from the Bahrain Investors' Center (BIC) or the Ministry of Industry and Commerce website.
